AUTHORIZING THE BAYFRONT PARK MANAGEMENT TRUST ("TRUST")
EXECUTIVE DIRECTOR TO EXECUTE THE NEGOTIATED REVOCABLE LICENSE
AGREEMENT ("RLA"), WITH EVENT ENTERTAINMENT GROUP, INC. ("EEG'), IN
SUBSTANTIALLY THE ATTACHED FORM SUBJECT TO THE APPROVAL OF THE
CITY ATTORNEY, FOR THE ULTRA MUSIC FESTIVAL ("ULTRA") AT BAYFRONT

A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE BAYFRONT PARK MANAGEMENT TRUST ("TRUST")
EXECUTIVE DIRECTOR TO EXECUTE THE NEGOTIATED REVOCABLE LICENSE
AGREEMENT ("RLA"), WITH EVENT ENTERTAINMENT GROUP, INC. ("EEG"), IN
SUBSTANTIALLY THE ATTACHED FORM SUBJECT TO THE APPROVAL OF THE
CITY ATTORNEY, FOR THE ULTRA MUSIC FESTIVAL ("ULTRA") AT BAYFRONT
PARK ("SITE"); FURTHER WAIVING THE REQUIREMENTS OF SECTION 38-113 OF
THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED.
WHEREAS, pursuant to Resolution No. 19-0321, adopted on July 25, 2019, the City of
Miami ("City") Commission approved a Revocable License Agreement ("Initial RLA") with Event
Entertainment Group, Inc. ("Licensee" or "EEG") for the presentation of an annual Ultra Music
Festival ("Event") at Bayfront Park ("Park") on the terms and conditions, including use fee, use
period, and other terms set forth in the Initial RLA, and authorized the City Manager to execute
the Initial RLA with the Licensee for the Event; and
WHEREAS, Section 3.3 of the Initial RLA provides no fixed term, is of an indefinite
duration, and may be revoked or terminated for convenience and without cause; and
WHEREAS, the City Commission desires for the Trust, the City's managing and
operating agency of the Park, to oversee and manage the Event; and
WHEREAS, pursuant to Resolution 22-0146, adopted on April 14, 2022, the City
Commission terminated the Initial RLA and authorized the Executive Director of the Bayfront
Park Management Trust ("Trust') to negotiate a revocable license agreement ("Trust RLA"); and
WHEREAS, the City Commission finds it is in the best interests of the City to waive
Section 38-113 of the City Code of Ordinances for the Event;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. The Executive Director of the Trust is hereby authorized to execute the Trust
RLA, in substantially the attached form subject to the approval of the City Attorney, between the
Trust and EEG for the purpose of producing the Event on the Site.
Section 3. The requirements set forth in Section 38-113 of the City Code are hereby
waived for the Event at the Park.
Section 4. This Resolution shall become effective immediately upon adoption.
