Thank you for your support of The Underline. This letter addresses two items discussed during the
City of Miami's Commission meeting about The Underline's signage and maintenance.
The Underline has its own signage ordinance, which is very restrictive and does not allow for
billboards. We have provided staff with Ordinance No. 20-51, codified as section 33C-13 of the
County Code, which details the allowed signage. In addition, on. January 19, 2022, the County
Commission adopted Ordinance No. 22-4, which revised the County's billboard regulations. That
ordinance expressly retained the existing prohibition on billboards within 300 feet of the Metrorail
fixed guideway. We hope that these regulations resolve the City's concerns regarding billboards in
relation to The Underline.
Maintenance of The Underline is governed by a management agreement (the "Management
Agreement") between the County and The Underline Management Organization, Inc. ("The
Underline Conservancy").' The Management Agreement delegates to The Underline Conservancy
the management, maintenance, and operation of The Underline after the County completes
construction of a particular segment of The Underline. Thus far, the Brickell Backyard is the only
segment of The Underline that is under the management of The Underline Conservancy.
There is a separate agreement (the "Maintenance Agreement") between the County and City of
Miami relating to maintenance. This Maintenance Agreement applies only to those portions of The
Underline that are constructed on City -owned property and requires the County (or the County's
designee) to maintain such improvements with the same degree and care that is exercised by the City
on similar property. Importantly, the Maintenance Agreement does not alter the County's and City's
` The Management Agreement, approved February 6, 2018, through Resolution No.
R-120-18, was subsequently amended through Resolution No. R-972-20, but that amendment did
not alter The Underline Conservancy's basic management obligations under the Management
Agreement.

regulatory authority and proprietary rights. Property that is subject to the Maintenance Agreement
is specifically designated in exhibits to the Maintenance Agreement; additional exhibits may be
added as The Underline is developed.
