We are pleased to enclose, for your review and consideration, BROUSS's proposal to Modernize
Two (2) Traction passenger Elevator equipment located at the following address:

Brouss Elevators Inc. (hereinafter "Brouss" or "Brouss Elevators") is dedicated to delivering at
Olympia Building / (hereinafter "Purchaser") the safest, highest quality vertical transportation
solutions. I am pleased to present this customized Proposal (the "Proposal") in the amount of
$698,700.00(USD) including any applicable sales tax to modernize the Elevators equipment
(Two traction passenger elevators) described in the pages that follow at the above -referenced
location.
This Proposal shall remain in effect for the next ninety (90) days unless it is revoked earlier by
BROUSS in writing. The price above is subject to escalation - even after Purchaser's acceptance of
this Proposal - under certain circumstances including the possibility that BROUSS may be subjected
to increased charges by its suppliers for any of the applicable materials and/or components due to
the imposition of new or increased taxes, tariffs, or other charges imposed by applicable
governmental authorities or the possibility that the work described in this Proposal is not
completed by December 31", 2021.

SOLUTION SPECIFICATION
Proposal to modernize Two (2) Traction/ Electrical elevators at location: 8 SE 2 n d Ave, Miami, FL
33131
These specifications are intended to include and shall include all labor and material necessary for
the modernization of Two (2) Traction Elevators and all other materials necessary for the
modernization in full compliance with current elevator safety code and A.D.A. requirements.
BROUSS ELEVATORS further represents and warrants that the scope of work shall include all
materials and labor reasonably necessary for the complete modernization of Two (2) Traction
Elevators including but not limited to scope as set forth herein.
BROUSS ELEVATORS shall obtain and be obligated to pay for any permit and all inspections
necessary for release of the elevators to work in optimum condition and ready for use, shall obtain
and pay for all municipal, county and State permits necessary for the execution of the elevator
work.

New car door(s) shall be provided where applicable. New door(s) shall be UL fire rated 1

New Hall door(s) shall be provided where applicable. New door(s) shall be UL fire rated 1
1 /2 hour. The doors will have Stainless Steel #4 finish. Total of 10 doors set per elevator.

Door Operators(s)
A New GAL MOUFR Master Power high-performance door Operator(s) shall be provided
to open and close the car and hoistway doors simultaneously. ❑oor movement shall be
cushioned at both limits of travel. An electric contact shall be provided on the car at
each car entrance to prevent the operation of the elevator unless the car door is closed.
Curtain of Light
The elevator car shall be equipped with an electronic protective device extending the
full height of the car. When activated, this sensor shall prevent the doors from closing or
cause them to stop and reopen if they are in the process of closing. The doors shall
remain open as long as the flow of traffic continues and shall close shortly after the last
person passes through the door opening.
SMARTRISE CONTROLLER
A new microprocessor -based control system shall be provided to perform the functions
of safe elevator motion. Included shall be all of the hardware required to connect,
transfer and interrupt power, and to protect the motor against overloading. Each
controller cabinet containing memory equipment shall be properly shielded from line
pollution. The microcomputer system shall be designed t❑ accept reprogramming with
minimum system down time.

All high voltage (110V or above) contact points inside the controller cabinet shall be
protected from accidental contact in a situation where the controller doors are open.
The microprocessor -based control system shall utilize on -board diagnostics for servicing,
trouble -shooting, and adjusting without requiring the use of an outside service tool.
New overhead Geared or Gearless Machine — TorinDrive
A new geared or Gearless (which ever apply better) traction machine shall be provided,
designed to meet the service encountered in elevator operation. A properly grooved
sheave will be driven through a worm and gear by a moderate speed motor. The sheave
wheel will be mounted with heavy antifriction bearings on a rigid shaft, or will be firmly
pressed onto a shaft supported by a sleeve or antifriction bearing of ample capacity. The
bedplate will be of cast iron or steel in one piece, either separate or integral with the
machine frame. The gear housing, brake support and motor support will be mounted on
the machine, rigid bedplate or they will be a single casting. This gear case will have
gasketed hand holes to permit inspection of worm gear face, worm gear and worm
contact, and worm gear mounting bolts.
The machine will be mounted in compact soundproofing units to attenuate the
predominated frequency of the elevator system.
Deflector Sheave
A new sheave(s) shall be provided where applicable and shall be properly grooved to
accommodate the required number of hoist cables. The sheave wheel will be mounted
with heavy antifriction bearings on a rigid shaft and will firmly pressed onto a shaft
supported by a sleeve or antifriction bearing of ample capacity.
Governor Ro
A new governor cable(s) compatible with the specifications for the new governor will be
provided. The governor cable is to pass over the governor sheave and under a weighted
tension device at the bottom of the hoist way. During normal operation of each
elevator, the governor rope will run free and clear of the governor gripping jaws, cable
guards and all other stationary parts. A metal tag will be attached to the top of the car -
releasing carrier, giving the diameter, material of cable, and with date of cable
installation. Tags will be attached in an approved manner.
Hoist Ropes
New hoist cables shall be provided. The hoisting cables will be designed for elevator
service, compatible with the hoist machine, and having a factor of safety at least equal
to that specified in the ANSI Code.
Guides

New roller guide assemblies shall be provided. All guide rails shall be restores as needed.
The car safety will be activated by a new speed governor located overhead, driven by a
governor rope suitably connected to the car safety. The governor will be equipped with
rope grip jaws designed to clamp the governor rope so as to actuate the car safety upon

a predetermined over speed downward. The governor will be set at not less than 115%
of specified rated car speed and not more than the maximum governor tripping speed
specified in the code for the specified rated car speed.
The rope grip jaws must be positively tripped within the permitted range of speed. The
governor rope -tripping device will be so designed that no appreciable damage to or
deformation ❑f the governor rope will result from the stopping action ❑f the device in
operating the car safety. The governor over speed switches will conform to ANSI A17.1
code requirements and be so located and enclosed that excess lubricant will not enter
the switch enclosure.
Upon activation of the safety switch, the switch will remain in the open position until
manually reset. The governor will be accurately adjusted and sealed with tripping speed
specified. Date tags indicating the test date will be applied.
Car Sienal Fixtures
1. Furnish and install per elevator(s), one (1) new Car Operating Panels meeting ADA
and Code requirements with the following features:. engraved capacity, universal no
smoking sign with the words no smoking under symbol, illuminating buttons, door open,
door close, alarm bell, emergency light, light/fan key switch, independent service, digital
position indicator, fire service instructions, call cancel, fire service Phase II complete,
certificate frame, and integral telephone.
2. Per code, furnish and install One (1) new Fire Status Panel with Digital Position
Indicators, Elevator Fire Recall and Emergency Power Key Switches with indictor lights,
and a phone t❑ communicate to the elevators.
3. Furnish and install one (1) new Car Riding Lanterns one per elevator to be installed
within the jamb of the of the elevator cab per ADA requirements. All to be in Stainless
Steel #4 finish.

Car Doors New door 42'x 84', side opening, backside will be painted black, face side will
be covered with stn/stl satin finish and will include sigtguard, doorjambs and fire tabs.
Flooring: Install new Rubber Floor. All wooden platform will be reinforced.

Pit Equipment
• Per code, furnish and install Pit Ladder(s).
• Furnish and install Pit Switche(s).
• Furnish and install per elevator one new Car and Counterweight ELSCD Oil Buffers.

New BROUSS car & hall signalization, shall be provided.
Control Room A/C unit
• Brouss elevator will replace and install a new A/C unit in the elevator control room as per
elevator code. All material and labor related to this specific scope is included.
Miscellaneous Work
• Furnish and install set of Detector Edges (door protection).
■ Furnish and install new Car Top Inspection Stations per code requirements.
• Furnish and install new ADA Compliant Telephones. It is the responsibility of the
building/owner to provide a dedicated phone line from the elevator machine room to the
elevator.
• Per code, furnish and install Car Top Railings per code.
Note: The following "work by others" is not included in the base price of this proposal:
1. Fire alarm system and smoke sensors.
Layout Drawings
Brouss Elevators Inc. shall, after receiving structural and architectural drawings from
Purchaser, prepare drawings showing the general arrangement and loads of the elevator
equipment. These drawings shall be approved and the hoistway size guaranteed by
Purchaser prior to processing, fabrication, and installation of the elevator.
LT, TLGi: 1011 Will
Brouss Elevators Inc, warrants that all parts and any equipment installed by Brouss
Elevators to be free from defects in materials under normal use and service for a period of
one (1) years from the date of installation, reasonable wear and tear excluded. Proof of
the date of installation is required to determine the warranty period or the date of
material shipping is the start date of warranty.
Warranty labor is at no charge for 90 days after completion and turnover.
The warranty does not extend to any Elevator unit which has been subjected to misuse,
neglect, accident, modifications or damage from fire, lightning or water, or used in
violations of the instructions furnished, nor units repaired or altered by other than an

authorized. This warranty does not cover service work, oiling, cleaning, maintenance and
minor adjustments that are required from time to time.
Brous Elevators Inc. liability hereunder is limited to repair and/or replacement only.
Transportation and labor charges are not covered. Brouss elevators. accepts no liability for
any loss or damage resulting from use or misuse of the equipment, whether such damage
is direct, indirect or consequential. All other express or implied warranties, statutory or
otherwise, are excluded.
*Note: Brouss Elevators Requires a mandatory Planned Maintenance (PM) agreement in
order to guarantee their parts and provide full coverage for the warranty time.
PERMITS
Will be secured by Brouss Elevator. BROUSS ELEVATORS shall obtain and be obligated to
pay for all inspections necessary for release of the elevators to work in optimum condition
and ready for use, shall obtain and pay for all municipal, county and State permits
necessary for the execution of the elevator work.
All work shall be performed in accordance with the latest revised edition (as of the date of
this proposal) of the United States of America Standard Safety Code for Elevators,
Escalators and Dumbwaiters, the National Electrical Code, and/or such State and Local
Codes as may be applicable. Subsequent to the date of this Agreement, should changes be
made in any code, or should rulings by any code enforcement authority extend the
application of the code, the work and materials necessary to bring the installation into
compliance with such changes shall be in addition to the contract price.
INVESTMENT AND TERMS OF PAYMENT
PRICE OVERVIEW:
Proposal pricing is based on the scope of work as defined herein. Any additional work
required will be performed only upon purchaser's approval of a mutually agreeable change
proposal. Any other deficiencies revealed in the progress of the work will be promptly
reported to the purchaser with recommendations and cost for corrective action.
Brouss Elevators Inc, proposes to furnish and install the equipment specified in this
proposal (Two traction elevators) for the net sum of $698,700.00 (Six hundred ninety-
eight thousand and seven hundred & 00/100). Each elevator cost shall be $349,350.00
(Three hundred forty-nine thousand and three hundred and fifty & 00/100). Price
includes Permits, Demolition, material, shipping, Installation, Test, Inspections, One Year
Warranty (subject to preventive maintenance agreement).
Any applicable sales tax is included.
Total Sales Price (Including Sales Tax): ($698,700.00)
Pricing Condition: This Offer is Valid for 90 Days.
Maintenance: 12 months of complete maintenance with callouts
during regular working hours are included during
the warranty periods.

• Should there be delays to the project schedule outside the control of Brouss Elevators Inc.
payments would still be due.
• Brouss Elevators will not be released for production without deposit nor turned over
without final payment.
• If drawings are revised more than three (3) times, there is an additional charge of
$25000.00 per revision.
• Should the owner desire to have a custom finish color picked off the color chart, there is
an additional charge.

nTHFR TPPNAS
The Owner shall make progress payments on account of the Contract Sum to the
Contractor as provided above and elsewhere in the Contract documents. Each invoice for
payment shall be based upon the terms submitted by the Contractor. The terms shall
allocate the entire Contract sum among the various portions of the contractor's work. The
terms shall be used as a basis for reviewing the Contractor's invoice for payment as well as
for any change orders. If after the work has been substantially completed and full
completion is materially delayed through no fault of Brouss Elevators inc. Purchaser shall
make such additional payments as may be required to leave outstanding only an amount

equal to the value as estimated by Brouss Elevators Inc. based on the contract price of the
uncompleted portion.
In the event of any default or breach by Purchaser of any provision of this Agreement, the
unpaid balance of the purchase price, less the cost of completing the work as estimated by
Brouss Elevators Inc. shall immediately become payable irrespective of the acceptance by
Brouss Elevators Inc. of notes from Purchaser or extension of time for payment. The
remainder of the contract price shall be due and payable upon completion or turnover of
the installation. If there is more than one (1) unit in this contract, final payment shall be
made separately as each unit is completed or turned over to Purchaser.
Brouss Elevators Inc. reserves the right to discontinue its work at any time until payments
have been made by Purchaser as agreed upon, and satisfactory assurances are made by
Purchaser that subsequent payments will be made as they become due. Non-payment by
the Purchaser of any monies due and owing under this Agreement shall result in the
accrual of interest on the delinquent monies at the maximum rate allowable by law in the
state of acceptance.
TITLE AND OWNERSHIP
Brouss Elevators Inc. retains title to all equipment it supplies under this Agreement and a
security interest therein, (which, it is agreed, can be removed without material injury to
the real property) until all payments under the terms of this Agreement, including
deferred payments and any extensions thereof, are made. In the event of any default by
Purchaser on any payment, or any other provision of this Agreement, Brouss Elevators Inc.
may take immediate possession of the equipment and enter upon the premises where it is
located (without legal process) and remove such equipment or portions thereof,
irrespective of the manner of its attachment to the real estate or the sale, mortgage, or
lease of the real estate. Pursuant to the Uniform Commercial Code, and at Brouss
Elevators Inc. request, Purchaser agrees to execute any financial or continuation
statements which may be necessary for Brouss Elevators Inc. to file in public offices in
order to perfect Brouss Elevators Inc. security interest in such equipment.

ACCEPTANCE Of PROPOSAL
Purchaser's acceptance of this Agreement and its approval by an executive officer of
Brouss Elevators Inc. will constitute exclusively and entirely the Agreement. All other prior
representations or agreements, whether written or verbal, will be deemed to be merged
herein and no other changes in or additions to this Agreement will be recognized unless
made in writing and properly executed by both parties. Should Purchaser's acceptance be
in the form of a purchase order or other similar document, the provisions of this
Agreement will govern in the event of a conflict. This proposal is hereby accepted in its
entirety, and shall constitute the entire Agreement as contemplated by the Purchaser and
Brouss Elevators Inc.
TENDER APPROVAL
We accept the offer constituted by this proposal (total sales price of $698,700.00
(Including sales tax) and agree to the conditions contained therein.
