Subject: Authorize - Consent Agreement - Miami Fire Station No. 4
Purpose of Item:
A resolution of the Miami City Commission, with attachment(s), authorizing the City
Manager to join and consent to an agreement, in substantially the attached form, with
Miami -Dade Water and Sewer Department and 191 SW 12 Owner LLC for the provision
of water and sanitary sewer services necessary for the construction of the new City of
Miami Fire Station No. 4.
Background of Item:
The City of Miami ("City") is the owner of property located at 1105, 1115, 1131, and
1133 SW 2 Avenue, in Miami -Dade County, Florida on which the City currently operates
City Fire Station No. 4. The City also owns First Miami High School, located at 142 SW
11 Street, as well as park land located at 140 SW 11 Street ("Southside Park"). 191 SW
12 Owner LLC ("Developer") is the contract purchaser of the property located at 191
SW 12 Street, 145 SW 12 Street, 155 SW 12 Street, and 165 SW 12 Street, in Miami -
Dade County, Florida. The aforementioned properties comprise Block 85, located in
Miami -Dade County, Florida. The City and Developer have executed that certain Public
Benefits Agreement, on April 13, 2020, and adopted by the Miami City Commission vis-
a-vis Resolution R-20-0059, wherein the Developer has agreed to redevelop Block 85
and provide public benefits to the City, including without limitation, the construction of a
new City Fire Station No. 4 ("NFS"). The Developer wishes to enter into the attached
Agreement for Water and Sanitary Sewer Facilities between Miami -Dade County and
191 SW 12 Owner LLC (the "Agreement"). The City is seeking to join and consent to
the Agreement. The City joining and consenting to the Agreement is necessary in order
to bring water and sewer service to the NFS. The City Manager requests authorization
to execute a Joinder and Consent, within the Agreement, in a form acceptable to the
City Attorney, for water and sewer services to the NFS.

A RESOLUTION OF THE MIAMI CITY COMMISSION AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE A JOINDER AND CONSENT TO THE
AGREEMENT FOR WATER AND SANITARY SEWER FACILITIES, IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, BY AND BETWEEN THE MIAMI-DADE
COUNTY WATER AND SEWER DEPARTMENT AND 191 SW 12 OWNER LLC FOR
THE PROVISION OF WATER AND SANITARY SEWER SERVICES NECESSARY
FOR THE CONSTRUCTION OF THE DEVELOPMENT CONTEMPLATED BY THE
PUBLIC BENEFITS AGREEMENT REGARDING CONSTRUCTION OF THE NEW
FIRE STATION NO. 4 DATED APRIL 13, 2020.
WHEREAS, the City of Miami ("City") is the owner of property located at 1105, 1115,
1131, and 1133 Southwest 2 Avenue in Miami -Dade County, Florida on which the City currently
operates City Fire Station No. 4 ("Fire Station 4"); and
WHEREAS, the City also owns First Miami High School located at 142 Southwest 11
Street and the park located at 140 Southwest 11 Street (collectively, "Southside Park"); and
WHEREAS, 191 SW 12 Owner LLC, a Florida Limited Liability Company ("Developer'),
is the contract purchaser of the property located at 191 Southwest 12 Street, 145 Southwest 12
Street, 155 Southwest 12 Street, and 165 Southwest 12 Street in Miami -Dade County, Florida
(collectively, "Developer Parcels"); and
WHEREAS, Fire Station 4, Southside Park, and the Developer Parcels are referred to
herein as Block 85 ("Block 85"); and
WHEREAS, the City and the Developer have executed that certain Public Benefits
Agreement Regarding Construction of the New Fire Station No. 4 dated April 13, 2020 ("PBA")
and approved by the Miami City Commission pursuant to Resolution No. R-20-0059 on
February 24, 2020, wherein the Developer has agreed to redevelop Block 85 and provide
various public benefits to the City, including without limitation, the construction of a new City Fire
Station No. 4 ("NFS"); and
WHEREAS, the Developer and the City require water and sewer services to be rendered
for the redevelopment of the Developer Parcels and Fire Station 4; and
WHEREAS, the Miami -Dade Water and Sewer Department, a body corporate and
political subdivision of the State of Florida ("WASD"), operates the water and sewer systems
owned by Miami -Dade County and requires a Water and Sanitary Sewer Facilities Agreement
("Agreement") between WASD and the Developer; and
WHEREAS, as the City is the owner of Fire Station 4, WASD and the Developer are
requesting that the City execute a joinder and consent to the Agreement ("Joinder and
Consent"); and
WHEREAS, the City Manager hereby requests authorization to negotiate and execute
the Joinder and Consent, in a form acceptable to the City Attorney, for water and sewer services
to the Developer Parcels and Fire Station 4, including, without limitation, the NFS;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. The City Manager is hereby authorized' to negotiate and execute the Joinder
and Consent for water and sanitary sewer facilities between WASD and the Developer, in a
form acceptable to the City Attorney, for the provision of water and sanitary sewer services
necessary for the construction of the development contemplated by the PBA, including, without
limitation, the NFS.
Section 3. This Resolution shall become effective immediately upon its adoption.
