FOR THE PRESENTATION OF A BOAT SHOW AT THE FLORIDA EAST COAST SLIP MAINTAINED BY THE TRUST. WHEREAS, the City of Miami ("City") is the owner and the Bayfront Park Management Trust ("Trust") is the manager and operator of the real property known as the Florida East Coast Slip located at 801 Biscayne Boulevard, Miami, Florida ("Property"); and WHEREAS, Yachting Promotions, Inc. a Florida Corporation ("Licensee"), is the producer of one of the most popular boat shows in State of Florida ("State") and desires to produce the Miami Yacht Show ("Event") at the Property for the foreseeable future; and WHEREAS, in 2018, the Event generated an estimated $486 million in total economic output throughout the State as a result of marine product purchases and expenditures; and WHEREAS, 3,576 full time jobs throughout the State are associated with the economic output of the $486 million generated by the Event; and WHEREAS, the total excise and sales taxes generated within the State as a result of the Event is estimated at $31.8 million; and WHEREAS, Miami -Dade County ("County") companies contributed more than $64.9 million in estimated sales of marine products; and WHEREAS, in 2018, Event exhibitors, while in the County, expended $2.04 million on local goods and services, including hotels, restaurants, retail, and local transportation; and WHEREAS, the Trust wishes to have the Event at the Property ("Proposal'); and WHEREAS, pursuant to Section 38-104 of the Code of the City of Miami, Florida, as amended ("City Code"), the Trust is, at all times, subject to City Commission approval; and WHEREAS, the Proposal is provided in the form of the a Revocable License Agreement ("License"), attached and incorporated as Exhibit "A"; and WHEREAS, the License is not assignable, is not for a fixed term, and is revocable at - will, for convenience, and without consent of the Licensee; and WHEREAS, the License does not transfer any interest in real property, including any leasehold interest in real property owned by the City; and WHEREAS, the License permits only certain enumerated, specific, and listed permitted uses on specified dates and does not permit anything further; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as fully set forth in this Section. Section 2. The Executive Director of the Trust is authorized to negotiate and execute the License, in a form acceptable to the City Attorney, between the Trust and the Licensee for the purpose of producing the Event on the Property with the terms and conditions more particularly described in the License, attached and incorporated as Exhibit "A". Section 3. This Resolution shall become effective immediately upon adoption.
