WITNESSETH WHEREAS, said land hereinafter described was heretofore acquired by the Grantor for state highway purposes, that being the construction of the bascule bridge on SW 1 It Street spanning the Miami River and its related appurtenances, (the "Bridge"); and WHEREAS, said land is no longer required for such purposes, and the Grantor, by action of the District Secretary, District Six Florida Department of Transportation on February 8th, 2021 pursuant to the provisions of Section 337.25 Florida Statutes, has agreed to quitclaim the land hereinafter described to the Grantee without consideration, to be used solely for public purposes. NOW, THEREFORE, THIS INDENTURE WITNESSETH: That the Grantor does hereby remise, release and quitclaim unto the Grantee, and assigns, forever, all the right, title and interest of the State of Florida Department of Transportation to the property herein described to be used solely for public purposes pursuant to the provisions of Section 337.25, Florida Statutes, all that certain land situate in Miami -Dade County, Florida, viz: (See Exhibit "A" attached hereto and made a part hereof) The foregoing conveyance was approved pursuant to Resolution No. Commission, passed and adopted on . A copy of said hereto as Exhibit "B". of the Miami City Resolution is attached TO HAVE AND TO HOLD, the said premises and the appurtenances thereof unto the Grantee. No. : 968 Managing District : Six County : Miami -Dade THIS CONVEYANCE IS made subject to access control requirements, any unpaid taxes, assessments, liens, reservations, or easements of any kind which may be in place, or encumbrances of any nature whatsoever which the Grantee hereunder and herein assumes. THIS CONVEYANCE IS further subject to compliance with all applicable local, state, and federal laws, including historic preservation laws, relevant to and appropriate for a designated Archaeological Conservation Area, and mitigation of direct or indirect effects to the adjacent National Register —listed historic district. THIS CONVEYANCE IS further subject to a Grant of Easement and Covenant Running with the Land to the benefit of the Department, which shall be executed contemporaneously with and recorded alongside this conveyance. REVERTER — The Property herein described may be used by the Grantee in perpetuity for a non-commercial social, recreational, or environmental purpose benefitting the general public and related amenities to support the intended public purpose use. If the property ceases to be used for the above described purpose, all property rights shall revert back to the Grantor, it being understood and agreed that this shall constitute a covenant running with the land, binding on all parties that have or shall have any right, title or interest on the land. The Property shall not be designated for a use other than transportation on any land use plan. The primary designation and use of the Property herein described is and shall remain for transportation use, and all property rights shall revert back to Grantor, in whole or in part, upon Grantor's sole determination that there is a transportation need for said land. Upon Grantor's request, Grantee shall produce a duly executed deed, in recordable form, to memorialize such reversion of the Property. It being understood and agreed that this shall constitute a covenant running with the land, binding on all parties that have or shall have any right, title or interest on the land. RESERVING UNTO THE GRANTOR and its successors, an undivided three -fourths interest in all the phosphate, minerals and metals that are or may be in, on, or under the said land and an undivided one-half interest in all the petroleum that is or may be in, on, or under said land with the privilege to mine and develop the same on all lands wherein the grantor holds the requisite interest. Grantor agrees that all maintenance responsibilities shall be the responsibility of Grantor, including, but not limited to, maintenance of the seawall and mowing and removal of any landscape debris that may fall on the Easement Property, from time to time. Grantor further agrees to perform all maintenance in such a manner so that at all times the easement area continues to function for the purpose stated in this instrument. 5. This Easement shall be perpetual in duration, and shall not be changed, altered or amended except by a written instrument executed by Grantor and Grantee or their respective successors or assigns. 6. The rights and obligations of the parties shall inure to the benefit of and be binding upon their respective successor(s) and assign(s). 7. The provisions of this Easement may be enforced by all appropriate actions at law and in equity by the respective parties. 8. Grantor further agrees to perform all maintenance in such a manner so that at all times the easement area continues to function for the purpose stated in this instrument. 5. This Easement shall be perpetual in duration, and shall not be changed, altered or amended except by a written instrument executed by Grantor and Grantee or their respective successors or assigns. 6. The rights and obligations of the parties shall inure to the benefit of and be binding upon their respective successor(s) and assign(s). 7. Grantor further agrees to perform all maintenance in such a manner so that at all times the easement area continues to function for the purpose stated in this instrument. 5. This Easement shall be perpetual in duration, and shall not be changed, altered or amended except by a written instrument executed by Grantor and Grantee or their respective successors or assigns. 6. The rights and obligations of the parties shall inure to the benefit of and be binding upon their respective successor(s) and assign(s). 7. The provisions of this Easement may be enforced by all appropriate actions at law and in equity by the respective parties. 8. It is understood and agreed that the rights and obligations of each party shall constitute a Covenant Running with the Land, their successors and/or assigns. 9. This Easement Agreement shall be governed by the laws of the State of Florida.
