A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
BY A FOUR-FIFTHS (4/5THS) AFFIRMATIVE VOTE PURSUANT TO SECTION
18-85(A) OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED
("CITY CODE"), AFTER AN ADVERTISED PUBLIC HEARING, RATIFYING,
APPROVING, AND CONFIRMING THE CITY MANAGER'S FINDINGS,
ATTACHED AND INCORPORATED AS EXHIBIT "A," WAIVING THE
REQUIREMENTS OF COMPETITIVE SEALED BIDDING PROCEDURES AS
NOT PRACTICABLE OR ADVANTAGEOUS TO THE CITY OF MIAMI ("CITY")
AND APPROVING THE PROCUREMENT OF THE TECHNICAL ACCOUNTING
CONSULTING SERVICES OF RSM US LLP ("RSM") FOR THE CITY'S
FINANCE DEPARTMENT TO DEVELOP AND EXECUTE A GOVERNMENT
ACCOUNTING STANDARDS BOARD STATEMENT NO. 87 ("GASB 87")
PROJECT PLAN; ALLOCATING AND APPROPRIATING FUNDS FROM THE
FINANCE DEPARTMENT'S BUDGET ACCOUNT NO.
00001.160000.534000.0000.00000 FOR SAID PURPOSE, SUBJECT TO THE
AVAILABILITY OF FUNDS AND BUDGETARY APPROVAL AT THE TIME OF
NEED; AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE,
IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, A PROFESSIONAL
SERVICES AGREEMENT WITH RSM TO ASSIST IN THE ESTABLISHMENT
AND EXECUTION OF A GASB 87 PROJECT PLAN FOR A TOTAL AMOUNT
NOT TO EXCEED FIFTY THOUSAND DOLLARS ($50,000.00) IN
ACCORDANCE WITH RSM'S PROPOSED SCOPE OF WORK; FURTHER
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND EXECUTE ANY
AND ALL OTHER DOCUMENTS, INCLUDING ANY AMENDMENTS,
RENEWALS, MODIFICATIONS, AND EXTENSIONS, SUBJECT TO FUTURE
ALLOCATIONS, APPROPRIATIONS, BUDGETARY APPROVALS AT TIME OF
NEED HAVING BEEN PREVIOUSLY MADE, IN COMPLIANCE WITH ALL
APPLICABLE LAWS AND PROVISIONS OF THE CITY CODE, INCLUDING,
BUT NOT LIMITED TO, THE CITY'S PROCUREMENT ORDINANCE, ANTI-
DEFICIENCY ACT, AND FINANCIAL INTEGRITY PRINCIPLES, ALL AS SET
FORTH IN CHAPTER 18 OF THE CITY CODE, AND ALL IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY AS MAY BE NECESSARY FOR SAID
PURPOSE.
WHEREAS, pursuant to Section 18-85(a) of the Code of the City of Miami, Florida, as
amended ("City Code"), the City Manager has made a finding, attached and incorporated as
Exhibit 'A" containing reasons supporting the conclusion that competitive sealed bidding is not
practicable and is not advantageous to the City of Miami ("City") in order for the City's Finance
Department ("Department") to retain the technical accounting consulting services of RSM US
LLP ("RSM"); and

WHEREAS, for reporting periods after December 15, 2019, governments are required to
implement Government Accounting Standards Board Statement No. 87 ("GASB 87"); and
WHEREAS, the objective of GASB 87 is to better meet the information needs of financial
statement users by improving accounting and financial reporting for leases by governments; and
WHEREAS, in order to ensure the successful implementation of GASB 87, the
population of leases, of both lessee and lessor, must be properly identified and this process
requires a significant investment of staff time and has proven to be a challenge for some
organizations; and
WHEREAS, the Department finds that retaining the expertise of a technical accounting
consultant will be advantageous in ensuring the City is in compliance with GASB 87; and
WHEREAS, the City Manager and the Chief Procurement Officer recommend that the
requirements for competitive sealed bidding procedures be waived and that the procurement of
the technical accounting services, as specified, be approved pursuant to Section 18-85(a) of the
City Code; and
WHEREAS, following a properly advertised public hearing, the City Commission finds it
is in the best interest of the City to ratify, approve, and confirm, by a four-fifths (4/5ths)
affirmative vote, the waiver of competitive sealed bidding procedures for the procurement by the
City of the technical accounting services of RSM to assist in the development and execution of a
GASB 87 Project Plan for a total amount not to exceed Fifty Thousand Dollars ($50,000.00) in
accordance with RSM's proposed statement of work;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. By a four-fifths (4/5ths) affirmative vote, pursuant to Section 18-85(a) of the
City Code, after an advertised public hearing, the City Manager's findings, attached and
incorporated as Exhibit "A," that the requirements of competitive sealed bidding procedures are
not practicable and are not advantageous to the City are ratified, approved, and confirmed, the
requirements for competitive sealed bidding procedures are waived, and the request to retain
the technical accounting services for the City's Finance Department to develop and execute a
GASB 87 Project Plan with the assistance of RSM is approved.
Section 3. Funds from the Department's Budget Account No.
00001.160000.534000.0000.00000 are allocated and appropriated for said purpose, subject to
the availability of funds and budgetary approvals at the time of need.
Section 4. The City Manager is authorized' to negotiate and execute, in a form
acceptable to the City Attorney, a Professional Services Agreement with RSM for a total amount
not to exceed Fifty Thousand Dollars ($50,000.00) in accordance with RSM's proposed
statement of work.
' The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.

Section 5. The City Manager is further authorized' to negotiate and execute any and all
other documents, including any amendments, renewals, modifications, and extensions, subject
to allocations, appropriations, budgetary approvals at time of need having been previously
made, in compliance with all applicable laws and applicable provisions of the City Code,
including, but not limited to, the City's Procurement Ordinance, Anti -Deficiency Act, and
Financial Integrity Principles, all as set forth in Chapter 18 of the City Code, and all in a form
acceptable to the City Attorney as may be necessary for said purpose.
Section 6. This Resolution shall become effective immediately upon its adoption and
signature of the Mayor.2

2 This Resolution shall become effective as specified herein unless vetoed by the Mayor within (10) days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission or upon the effective date stated herein,
whichever is later.
