HomeMy WebLinkAboutExhibit BRESOLUTION NO. 011/2020 A RESOLUTION OF THE ANNUAL REVIEW COMMITTEE OF THE MIAMI DOWNTOWN DEVELOPMENT AUTHORITY OF THE CITY OF MIAMI, FLORIDA ("MIAMI DDA") PURSUANT TO RESOLUTION NO. 010/2020 ADOPTED BY THE BOARD OF DIRECTORS OF THE MIAMI DDA ON FEBRUARY 28, 2020 SETTING THE SALARY AND BENEFITS FOR CHRISTINA CRESPI AS THE EXECUTIVE DIRECTOR OF THE MIAMI DDA SUBJECT TO CITY COMMISSION APPROVAL; FURTHER ESTABLISHING THE OBJECTIVES AND EXPECTATIONS FOR CRESPI AS EXECUTIVE DIRECTOR. WHEREAS, on February 28, 2020, the Board of Directors of the Miami Downtown Development Authority of the City of Miami, Florida ("Miami DDA") adopted Resolution No. 010/2020 appointing Christina Crespi ("Crespi") as the Executive Director of the Miami DDA subject to City Commission approval; and WHEREAS, the Board of Directors established and delegated the Annual Review Committee ("Committee") to set the salary, benefits, and expectations of Crespi in her role as Executive Director; and WHEREAS, after discussions and negotiations with Crespi at a publicly noticed hearing, the Committee hereby sets Crespi's salary and benefits as established in Exhibit "A", attached and incorporated, subject to City Commission approval; and WHEREAS, for performance measures, the Committee establishes the following expectations of Crespi: 1. Stability of the Miami DDA 2. Consistent, thorough, and adequate communication with the members of the Board of Directors 3. Execution and implementation of all policies, objectives, and priorities set forth by the Board of Directors; and WHEREAS, in order to properly determine if Crespi's salary and benefits should be modified and whether the expectations as stated herein have been met, the Committee urges the Board of Directors to set a future meeting to discuss these issues on or before February 28, 2021; NOW, THEREFORE, BE IT RESOLBED BY THE ANNUAL REVIEW COMMITTEE OF THE MIAMI DOWNTOWN DEVELOPMENT AUTHORITY OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. Crespi's salary and benefits as set forth in Exhibit "A", attached and incorporated, are hereby adopted subject to City Commission approval. Section 3. The expectations as set forth herein are hereby adopted. Section 4. The Board of Directors is urged to set a future meeting of the Committee on or before February 28, 2021 to discuss any potential modifications to Crespi's salary, benefits, and expectations. Section 5. This Resolution shall become effective immediately upon adoption. PASSED AND ADOPTED, this 6t' day of March, 2020.
