A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
ACCEPTING THE ASSIGNMENT OF INVITATION FOR BID ("IFB") CONTRACT
NO. 516388(21) FROM SU-R-SEBORTS, INC., FORMERLY KNOWN AS
STROBES -R -US, INC., A FLORIDA PROFIT CORPORATION ("SU-R-
SEBORTS"), TO SPARTAN UPFIT SERVICES, INC., A FOREIGN PROFIT
CORPORATION REGISTERED TO CONDUCT BUSINESS IN THE STATE OF
FLORIDA ("SPARTAN"), FOR THE PURCHASE AND/OR INSTALLATION OF
CITY OF MIAMI ("CITY") MUNICIPAL VEHICLE EQUIPMENT; AUTHORIZING
THE CITY MANAGER TO EXECUTE AN ACCEPTANCE OF ASSIGNMENT
AND ASSUMPTION OF CONTRACT, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY, WITH SPARTAN; FURTHER AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND EXECUTE ANY AND ALL OTHER
DOCUMENTS, INCLUDING ANY AMENDMENTS, RENEWALS, AND
EXTENSIONS, SUBJECT TO ALL ALLOCATIONS, APPROPRIATIONS, PRIOR
BUDGETARY APPROVALS, COMPLIANCE WITH ALL APPLICABLE
PROVISIONS OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS
AMENDED ("CITY CODE"), INCLUDING THE CITY'S PROCUREMENT
ORDINANCE, ANTI -DEFICIENCY ACT, AND FINANCIAL INTEGRITY
PRINCIPLES, ALL AS SET FORTH IN CHAPTER 18 OF THE CITY CODE, IN A
FORM ACCEPTABLE TO THE CITY ATTORNEY, AND IN COMPLIANCE WITH
ALL APPLICABLE LAWS, RULES, AND REGULATIONS, AS MAY BE DEEMED
NECESSARY FOR SAID PURPOSE.
WHEREAS, on January 14, 2016, the City Commission adopted Resolution No. 16-0009
approving the award of Invitation for Bid ("IFB") Contract No. 516388(21) for the purchase
and/or installation of City of Miami ("City") municipal vehicle equipment for an initial period of
two (2) years with the option to renew for three (3) additional one (1) year periods and
authorizing the City Manager to add suppliers for these goods and services on an as needed
basis as deemed necessary for said purpose ("Contract"); and
WHEREAS, on August 31, 2017, the City's Department of Procurement ("Procurement")
added Su-R-Seborts, Inc., formerly known as Strobes -R -Us, Inc., a Florida profit corporation
("Su-R-Seborts"), as a qualified supplier under the Contract; and
WHEREAS, on December 17, 2018, Su-R-Seborts sold its assets to Spartan Upfit
Services, Inc., a foreign profit corporation registered to conduct business in the State of Florida
("Spartan"), which has agreed to assume all the obligations under the Contract and
acknowledges that it will be bound by all the provisions, duties, liabilities, and obligations of its
award;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF
MIAMI, FLORIDA:

Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated as if fully set forth in this Section.
Section 2. The assignment of IFB Contract No. 516388(21) from Su-R-Seborts to
Spartan for the purchase and/or installation of City municipal vehicle equipment is hereby
accepted.
Section 3. The City Manager is authorized' to execute an Acceptance of Assignment
and Assumption of Contract, in a form acceptable to the City Attorney, with Spartan.
Section 4. The City Manager is further authorized' to negotiate and execute any and all
other documents, including any amendments, renewals, and extensions, subject to all
allocations, appropriations, prior budgetary approvals, compliance with all applicable provisions
of the Code of the City of Miami, Florida, as amended ("City Code"), including the City's
Procurement Ordinance, Anti -Deficiency Act, and Financial Integrity Principles, all as set forth in
Chapter 18 of the City Code, in forms acceptable to the City Attorney, and in compliance with all
applicable laws, rules, and regulations as may be deemed necessary for said purpose.
Section 5. This Resolution shall become effective immediately upon its adoption.

' The herein authorization is further subject to compliance with all requirements that may be imposed by
the City Attorney, including but not limited to, those prescribed by applicable City Charter and City Code
provisions.
